  • Management Business Review (MBR) - Evaluation of the MBR pack compiled by the FP&A team, covering monthly and year-to-date financial performance, including KPIs. Focus is placed on significant variances between actual results and budget, as well as identifying necessary adjustments to the annual forecast. Presentation made to the CEO and CFO.
  • Projects - Assessment of financial feasibility studies for various initiatives and major capital expenditures undertaken by business units.
  • Budgeting - Collaborate with the FP&A team on the preparation of the upcoming year's financial budget, including a thorough review of financial models and a critical assessment of the operational team's underlying assumptions.
  • Quarterly reporting - Assist the CFO in preparing and finalising financial documents for submission to the Audit & Risk Committee and the SEM on a quarterly basis. This encompasses commentary on the abridged financial results and the CFO report, which provides a more in-depth analysis of operational KPIs.
  • Other - Responsible for overseeing the approval and ongoing administration of the Group's capital expenditure (capex) initiatives, while also updating of Standard Operating Procedures (SOPs) and Service Level Agreements (SLAs) to ensure alignment with operational best practices. Provided key support to the Treasury function by assisting with financing arrangements for major projects, for example bank loans, and contributed to the external annual audit process through the preparation of impairment assessments.

  • Worked on a variety of corporate finance engagements: Valuation Practice (financial reporting valuation and independent value assessment), Transaction Support (buy side due diligence and vendor assistance), Financial Decisions and Analysis (business plan/ financial feasibility studies, financial modelling) and Mergers and Acquisitions.
  • Specialised in financial due diligence and M&A engagements for the last 3 years.
  • Valuation Practice - The valuation engagements included valuations for financial reporting purposes, review of valuations for audit purposes and valuations in the context of an investment or disposal. The engagements included the income approach (discounted cash flow method primarily), market approach and net asset approach.
  • I performed indicative valuations for the purposes of M&A transactions. From a seller's perspective, I performed a valuation for clients to get a feel of the valuation range that can be reasonably expected from potential bidders. From a buyer's perspective, the valuation range was used to negotiate the terms of the purchase price in the letter of intent/ head of terms document for our client.
  • Transaction Support - Financial due diligence engagements performed included both from a sell side and buy side perspective. The industries covered include construction, mobile financial services, medical insurance, distribution, beverage, real estate, wealth management, hospitality, banking and insurance.
  • Some of the due diligence engagements were performed in collaboration with PwC South Africa and PwC UK.
  • Due diligence for buy side advisory included the review of documents from a virtual data room, analytical review of financial information, engaging with the seller to clarify understanding, documentation of findings, liaising with external parties such as insurers in the case of an insured deal or banks in the case of financing the deal.
  • Also performed reviews of vendor due diligence reports to critically assess the findings and report on risk areas to my client and perform any top up financial due diligence in areas identified.
  • Vendor assistance due diligence included the review of historical information, drafting of vendor assistance report, setting up of the virtual data room and managing Q&A sessions with the buyer.
  • Financial Decisions and Analysis - Business plans for new projects included building a financial model to incorporate the client's assumptions to generate and assess the return on investment and repayment capacity of debt financing. The findings were documented in a PwC report and shared with finance providers.
  • Financial modelling has also been performed for clients with established businesses wishing to grow their operations and assess the return on investments and financing requirements. Recent models were made on Google Sheets.
  • Financial Decisions and Analysis also included the review of financial forecasts of a major conglomerate to assess the cash generating potential of its existing and projects to service debt commitments and possible dividends. This was also performed in view of a potential restructuring of the client's group companies.
  • Mergers and Acquisitions - I assisted in the negotiation of the terms of the letter of intent and share purchase agreement. These included interactions with the client's legal counsel and other party's financial advisor, review of proposed adjustments to price consideration by the other party and mainly review of other financial terms such as accounting policies for the completion process.
  • From a sell side perspective, I assisted in drafting the process letter for the M&A process, finalised a list of documents for populating a virtual data room in view of a buyer's financial due diligence and assessing the non binding offers from potential buyers to provide our recommendations to our client.
  • Business Recovery Services - I also completed an Independent Business Review of a textile factory, Forensic Services on a real estate management company and performed financial modelling of a local hotel to assess cost cutting implications and repayment capacity to both secured and unsecured creditors.
  • The deliverables of most of my engagements have been in the form of a report, presentation or financial model. These deliverables were presented to senior management of the client and board of directors.
  • Most of the engagements performed included leading a team giving the opportunity to delegate, review and lead the engagement to completion.
  • The engagement fees were based on a budgeted set of hours for the team and I have the responsibility to oversee the recovery of the engagement and ensure we stay within the certain threshold. Any material deviation may result in the negotiation of additional fees from the client.
