Manage portfolio of domestic and Global Business companies, providing corporate administration, company secretarial, governance, banking, and regulatory compliance support. Act as key point of contact for clients, directors, banks, auditors, regulators, and other professional service providers, ensuring that corporate and regulatory matters are handled accurately and within required deadlines.
- Manage day-to-day administration of portfolio of companies, including Global Business Companies and investment holding structures.
- Prepare and review board and shareholder resolutions, minutes, powers of attorney, statutory registers, share certificates, and other corporate documents.
- Coordinate board and shareholder meetings and ensure compliance with company constitutions, shareholders’ agreements, and applicable Mauritian legislation.
- Handle company incorporations, changes in directors and shareholders, share issuances and transfers, dividend declarations, and other corporate actions.
- Perform client onboarding, KYC reviews, AML/CFT due diligence, risk assessments, transaction monitoring, and periodic file reviews.
- Liaise with Financial Services Commission, Registrar of Companies, banks, auditors, legal advisers, tax advisers, and other service providers.
- Coordinate bank account openings, updates to authorised signatories, internet banking mandates, payments, and responses to bank compliance queries.
- Monitor statutory, regulatory, licence, tax, and financial-reporting deadlines to ensure timely filings and continued compliance.
- Coordinate annual audits and financial-statement processes by gathering supporting documents and following up with clients and auditors.
- Review agreements and transaction documents, identify corporate approval requirements, and arrange necessary board or shareholder authorisations.
- Maintain accurate corporate records and ensure that client files remain complete, current, and audit-ready.
- Build strong client relationships by responding promptly to operational, governance, banking, and compliance matters.
- Support and guide junior team members, review assigned work, and assist with internal quality-control procedures.
